1. Introduction
 
Welcome to Fazinflo, a full-scale marketing team solution provider. Fazinflo no longer operates as a traditional marketing agency. We now function as a middle layer between businesses and high-performing, full-stack marketing teams. By entering into a partnership with Fazinflo, you agree to comply with the terms and conditions outlined below. These policies are designed to promote clarity, protect all parties, and ensure long-term, high-performance collaboration.

 
2. Scope of Services 
 
Fazinflo offers businesses a fully-managed marketing department, tailored to their brand goals, audience, and growth stage. Our Teamflow Model includes:
 

  • Dedicated Marketing Teams: Strategists, content creators, designers, editors, SEO specialists, performance marketers, copywriters, and developers—all assigned specifically for your brand.

  • Team Operations: Fazinflo manages selection, onboarding, payroll, performance tracking, replacements, and team scaling.

  • Seamless Integration: Our teams work as an extension of your business, with minimal client-side friction.

 
Clients do not hire or manage individuals directly. Instead, Fazinflo provides a unified solution with centralized reporting, execution, and accountability.

 
3. Payment Terms
 
To ensure smooth collaboration and financial transparency:
 

  • Monthly Invoicing: Clients receive a single consolidated monthly invoice covering all team salaries and Fazinflo’s management fee.

  • Management Fee: Fazinflo charges a 8% service fee on top of the total salaries paid to the team. This fee covers management, performance audits, HR operations, internal quality checks, and backup systems.

  • Due Date: All payments are due by the 1st of every month. Payment delays will not affect the team’s salary, which Fazinflo guarantees regardless.

  • Late Payment Fee: If the client delays payment, Fazinflo will still disburse salaries on time. However, a 2% monthly late fee will be applied on the unpaid balance until it is cleared. (Example: ₹1,00,000 overdue = ₹2,000 late fee per month.)

Accepted Payment Method: UPI/Bank Transfer. Any deviation must be agreed upon in writing.

4. Ownership & Intellectual Property
 

  • Client Content: All content, campaigns, and marketing assets created by the assigned team belong to the client, upon full payment.

  • Portfolio Rights: Fazinflo may showcase portions of the work for its own portfolio and marketing unless explicitly requested otherwise.

  • Third-Party Materials: Clients are responsible for the legality and rights of any content (e.g., images, logos, music) provided to Fazinflo.

     

5. Team Performance, Replacements & Quality Assurance
 

  • Performance Tracking: Fazinflo conducts regular reviews and audits based on your business KPIs.

  • No-Hassle Replacements: If a team member is underperforming or if the client is unsatisfied, Fazinflo will replace that member (or the entire team) at no additional cost.

  • Training & Brand Alignment: All team members undergo onboarding specific to the client’s brand voice, goals, and campaigns before starting execution.

  • Project Leads: Fazinflo assigns internal project leads who serve as the communication bridge between the client and the team.

     

6. Confidentiality
 

  • Client Data Protection: Fazinflo will not disclose any confidential business information shared during the engagement without prior written consent.

  • Fazinflo IP: Clients agree not to disclose Fazinflo’s internal processes, pricing models, or management systems to third parties.

     

7. Termination & Exit Policy

Client-Initiated Termination:
 

  • Must be communicated at least 15 days in advance.

  • Any unpaid dues must be cleared in full before the relationship is formally terminated.

  • Fazinflo will transfer access to all current work, files, and team assets post-termination.
     

Fazinflo-Initiated Termination:
 

  • May occur in cases of consistent non-payment, breach of terms, or lack of cooperation.

  • Fazinflo is not liable to provide access to ongoing projects until dues are cleared.

  • No Refunds: Payments made are non-refundable due to the active nature of resource deployment, salaries, and execution efforts.

     

8. Limitations of Liability
 

  • Fazinflo’s liability is limited strictly to the amount paid for services within a given month. We are not responsible for:

  • Any consequential damages arising from marketing performance or team output.

  • Delays caused by the client’s failure to provide information, approvals, or access.

  • Unrealistic expectations or subjective dissatisfaction not backed by performance data.

     

9. Dispute Resolution

Fazinflo promotes mutual, respectful resolution of any disagreements.

​In case of unresolved disputes:
 

  • Both parties agree to initiate mediation or arbitration before taking legal action.

  • The legal venue for resolution will be in the jurisdiction agreed upon in the service contract.
     

10. General Terms

  • Fazinflo reserves the right to modify these terms at any time, with a 7-day notice sent via email.

  • Any custom agreement or variation must be signed in writing by both parties.

  • These terms are governed by the laws of the applicable jurisdiction where Fazinflo is registered.
