1. Introduction

 

Welcome to Fazinflo. Fazinflo is a creative production, video execution, and organic growth company that provides structured content solutions to brands, creators, agencies, and businesses globally. Our services are designed to support scalable content creation, consistent brand execution, and long-term organic growth through systemized creative models.

 

By accessing, subscribing to, or using any Fazinflo services—including but not limited to VideoFlow, DesignFlow, TeamFlow, Flow Studio AI, Premium Pixel Model, or On-Demand Edits—you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions. These terms are established to ensure transparency, operational clarity, and a fair working relationship between Fazinflo and its clients.

 

 

2. Scope of Services

 

Fazinflo delivers services through structured service frameworks referred to as Flow Models. Each Flow Model operates under predefined deliverables, workflows, timelines, and communication standards. Services may include professional video production, post-production, organic content creation, brand-focused design, creative operations support, and AI-assisted visual execution.

 

Video production services may only include editing, post-production, optimization, and delivery of short-form and long-form video content. Design services may include thumbnails, social media creatives, advertisements, carousels, and marketing visuals aligned with brand systems. Team-based services provide dedicated creative and operational resources assembled as a managed department rather than individual hires. On-Demand services allow clients to request specific creative outputs without long-term commitments.

 

All services are customized based on the selected plan, scope, and availability of resources. Any requests outside the defined scope of the selected service may require additional approvals, revised timelines, or additional fees.

 

 

3. Deliverables, Workflow, and Client Responsibilities

 

All deliverables are provided digitally through Fazinflo’s internal systems and approved platforms. Turnaround times, revision limits, and communication expectations vary depending on the selected Flow Model and are communicated during onboarding or service initiation.

 

Clients are responsible for providing all required materials, including but not limited to raw footage, brand assets, creative briefs, references, and approvals, in a timely manner. Delays in providing materials, approvals, or feedback may directly impact delivery timelines. Fazinflo shall not be held responsible for delays caused by incomplete information, late responses, or lack of client collaboration.

 

 

4. Payments and Billing Terms

 

All Fazinflo services operate on a prepaid basis unless otherwise agreed upon in writing. Work will commence only after payment confirmation. Subscription services require timely renewal based on the agreed billing cycle, and clients must provide a minimum of thirty (30) days’ notice prior to cancellation or pause of any recurring service.

 

Payments made to Fazinflo are non-refundable once work has commenced. This policy exists due to the immediate allocation of creative resources, production time, and operational capacity. If a service is paused after payment, the remaining value may be converted into service credits, which carry lifetime validity and may be redeemed for future Fazinflo services.

 

Unless otherwise agreed during onboarding, projects require an advance payment to initiate work, with remaining balances payable as per the agreed payment schedule. All invoices issued by Fazinflo are payable within three (3) days of issuance. Late payments may attract a delay fee of 1.5% of the invoice value. If an invoice remains unpaid for fifteen (15) days or more, Fazinflo reserves the right to pause or terminate services without obligation to deliver pending or completed work.

 

 

Platform Fee (Effective 2026)

 

Effective January 1, 2026, Fazinflo applies a mandatory platform fee to all invoices to support payment processing, infrastructure, internal systems, and platform maintenance. For invoices up to USD $1,000, a fixed platform fee of USD $19 applies. For invoices exceeding USD $1,000, a platform fee of 5% of the total invoice value applies. This fee is non-refundable and applies across all services.

 

 

5. Revisions, Feedback, and Approvals

 

Revisions are included within reasonable limits as defined by the selected Flow Model and are intended solely to refine deliverables rather than recreate them. Clients are required to provide clear, actionable feedback within seven (7) days of receiving any draft or preview. Failure to provide feedback within this timeframe may be treated as deemed approval.

 

Once final approval is provided, any additional changes, edits, or rework requests may incur additional charges and revised delivery timelines.

 

 

6. Ownership, Intellectual Property, and Usage Rights

 

Until full payment has been received and cleared, all work produced by Fazinflo—including drafts, raw files, templates, and project files—remains the exclusive property of Fazinflo. Upon full payment, clients are granted ownership rights only to the final exported deliverables as defined in the project scope.

 

All internal systems, workflows, templates, editing structures, automation frameworks, and proprietary processes remain the intellectual property of Fazinflo unless explicitly transferred in writing. Fazinflo retains the right to showcase non-confidential work for portfolio, marketing, and promotional purposes unless the client submits a written opt-out request.

 

Clients are solely responsible for ensuring that any materials provided to Fazinflo do not infringe upon third-party rights. Fazinflo assumes no liability for legal claims arising from client-provided content.

 

 

7. Confidentiality

 

Both parties agree to maintain strict confidentiality regarding any proprietary, strategic, creative, or operational information shared during the engagement. Fazinflo will not disclose client information to third parties except where required to execute services or where legally mandated. Clients agree not to disclose Fazinflo’s internal processes, pricing structures, or operational methods to external parties.

 

 

8. Service Limitations and Performance Disclaimer

 

Fazinflo guarantees creative execution quality and adherence to agreed workflows but does not guarantee specific business outcomes, including reach, engagement, conversions, revenue, or platform performance. Results are influenced by external factors such as algorithms, audience behavior, distribution strategy, and market conditions, which remain outside Fazinflo’s control.

 

 

9. Termination and Cancellation

 

Clients may terminate services with a minimum of thirty (30) days’ written notice. In the event of termination, Fazinflo retains the right to charge for work completed, resources allocated, and operational costs incurred up to the termination date. Payments already made remain non-refundable.

 

Fazinflo reserves the right to suspend or terminate services immediately in cases of non-payment, breach of agreement, misconduct, abuse of staff, or actions that jeopardize Fazinflo’s operations or reputation.

 

 

10. Limitation of Liability

 

Fazinflo shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use its services. Under no circumstances shall Fazinflo’s total liability exceed the total amount paid by the client for the specific service giving rise to the claim.

 

 

11. Dispute Resolution and Governing Principles

 

In the event of a dispute, both parties agree to attempt resolution through good-faith communication before pursuing formal remedies. Where resolution cannot be achieved, disputes may be referred to mediation or arbitration as mutually agreed. Legal proceedings, if any, shall be subject to the applicable jurisdiction as determined by Fazinflo.

 

 

12. Acceptance of Terms

 

By accessing or using Fazinflo’s services, the client confirms acceptance of these Terms & Conditions in full. Continued use of services constitutes ongoing agreement to all terms outlined herein.
