White-Labelling T&C 

1. Introduction and Purpose

 

These White-Labeling Terms & Conditions (“White-Label Terms”) govern the participation of agencies, consultants, and business partners (“Partner”) in The WhiteLabel Collective, an exclusive white-label partnership program operated by Fazinflo (“Fazinflo,” “we,” “us,” or “our”).

 

The WhiteLabel Collective is designed to allow Partners to sell content and creative services under their own brand identity while Fazinflo operates as the backend delivery and execution partner. By enrolling in, accessing, or participating in any white-label model under The WhiteLabel Collective, the Partner acknowledges that they have read, understood, and agreed to be bound by these White-Label Terms, in addition to Fazinflo’s standard Terms & Conditions, which are incorporated herein by reference.

 

These terms exist to ensure operational clarity, brand protection, confidentiality, fair revenue distribution, and a scalable long-term partnership structure.

 

 

2. Nature of the White-Label Relationship

 

The relationship between Fazinflo and the Partner is strictly that of independent contracting entities. Nothing in these White-Label Terms shall be construed as creating a partnership, joint venture, employment relationship, or agency relationship beyond the scope of service execution.

 

Under white-label arrangements, Fazinflo functions as a execution and delivery partner. The Partners retains front-end brand ownership or resell Fazinflo's services, client communication (where applicable), pricing control (subject to the selected model), and client positioning. Fazinflo does not claim ownership of any Partner’s brand.

 

 

3. White-Label Service Scope

 

Fazinflo provides backend delivery services that may include creative production, post-production, revisions, workflow management, internal quality control, operational coordination, and execution of services aligned with Fazinflo’s Flow Models, including but not limited to VideoFlow, DesignFlow, TeamFlow, Flow Studio AI, and On-Demand Edits.

 

All services are delivered through Fazinflo’s internal systems, resources, and standardized workflows. Deliverables, turnaround timelines, revision limits, and communication protocols are governed by the specific Flow Model selected and communicated during onboarding.

 

Any requests outside the defined scope of the selected model may require additional fees, revised timelines, or explicit written approval.

 

 

4. White-Label Models Overview

 

Participation in The WhiteLabel Collective may occur under one or more of the following models, subject to approval by Fazinflo.

 

 

Recurring Revenue Share Model:

Under the Recurring Revenue Share Model, the Partner refers a qualified client to Fazinflo. Fazinflo contracts directly with the client under its own brand name and assumes full responsibility for onboarding, execution, communication, revisions, and fulfilment.

 

In consideration of the referral, the Partner is entitled to receive up to twenty percent (20%) of the net recurring revenue collected from the client for the duration agreed upon during onboarding. Revenue share payouts are calculated based on cleared payments received by Fazinflo and are issued according to Fazinflo’s internal payout cycle.

 

The Partner has no delivery, operational, client ownership or client-management responsibility under this model.

Referral Revenue Share Model:

Under the Referral Revenue Share Model, the Partner independently closes a deal for Fazinflo with a qualified client. Upon successful closure and payment by the client, the Partner earns a one-time revenue share of up to fifty percent (50%), subject to deal structure and written confirmation.

 

Resell Revenue Share Model:

Under the Resell Revenue Share Model, the Partner purchases Fazinflo services at Fazinflo’s internal or standard rates and resells them to their clients under the Partner’s own brand name.

 

The Partner retains full pricing freedom and may package, bundle, or mark up services without restriction. Fazinflo bears no responsibility for the Partner’s client pricing, promises, positioning, or commercial terms.

 

Fazinflo remains responsible solely for service execution based on the purchased plan. The Partner remains fully responsible for client relationship management, payments collected from their client, and any commercial disputes.

 

 

5. Branding, White-Label Representation, and Client Disclosure

 

Under white-label arrangements, the Partner may present Fazinflo’s services as their own in Resell revenue model only. Fazinflo shall not communicate directly with the Partner’s clients unless explicitly authorised or operationally required.

 

The Partner agrees not to disclose Fazinflo’s involvement, internal pricing, systems, workflows, or proprietary methods to their clients or third parties without prior written consent. Any breach of white-label confidentiality may result in immediate termination of partnership and forfeiture of unpaid revenue shares.

 

 

6. Client Responsibilities and Information Accuracy

 

Partners are responsible for ensuring that all client briefs, assets, requirements, and instructions provided to Fazinflo are accurate, complete, and legally compliant. Delays or errors caused by incomplete or incorrect information may impact delivery timelines, for which Fazinflo shall not be held liable.

 

Fazinflo does not verify the legality, ownership, or licensing of client-provided materials and assumes no liability for claims arising from such content.

 

 

7. Payments, Billing, and Revenue Share

 

All services under white-label arrangements operate on a prepaid basis unless otherwise agreed in writing. Work commences only upon payment confirmation.

 

Revenue share payouts are calculated based on successfully collected and cleared payments and are not owed on pending, disputed, refunded, or chargeback amounts. Fazinflo reserves the right to withhold payouts in cases of suspected fraud, non-compliance, or breach of these White-Label Terms.

 

All standard payment terms, late fees, platform fees (effective January 1, 2026), and non-refund policies outlined in Fazinflo’s standard Terms & Conditions apply equally to white-label arrangements.

 

 

8. Ownership, Intellectual Property, and Usage Rights

 

All internal systems, workflows, automation frameworks, templates, editing structures, and operational methodologies remain the exclusive intellectual property of Fazinflo.

 

Upon full payment, the Partner or end client receives ownership rights only to the final exported deliverables defined in scope. Drafts, project files, raw assets, and internal working files remain Fazinflo’s property unless explicitly transferred in writing.

 

White-label participation does not grant the Partner any ownership rights over Fazinflo’s proprietary systems or intellectual assets.

 

 

9. Confidentiality and Non-Disclosure

 

Both parties agree to maintain strict confidentiality regarding all proprietary, financial, strategic, creative, and operational information exchanged during the partnership.

 

The Partner agrees not to reverse-engineer or expose Fazinflo’s internal systems, delivery frameworks, or operational structures. Confidentiality obligations survive termination of the partnership.

 

 

10. Performance Disclaimer

 

Fazinflo guarantees execution quality and adherence to agreed workflows but does not guarantee specific outcomes, including growth, engagement, revenue, leads, conversions, or platform performance. Results are influenced by external variables beyond Fazinflo’s control.

 

 

11. Termination and Suspension

 

Either party may terminate the white-label partnership with thirty (30) days’ written notice unless otherwise specified in writing.

 

Fazinflo reserves the right to immediately suspend or terminate the partnership in cases of non-payment, breach of confidentiality, misrepresentation, abuse of staff, unethical conduct, or actions that may harm Fazinflo’s reputation or operations.

 

Upon termination, unpaid revenue shares may be forfeited in cases of breach. Payments already made remain non-refundable.

 

 

12. Limitation of Liability

 

Under no circumstances shall Fazinflo be liable for indirect, incidental, special, or consequential damages arising from white-label participation. Fazinflo’s total liability shall not exceed the total amount paid to Fazinflo by the Partner for the specific services giving rise to the claim.

 

 

13. Governing Principles and Dispute Resolution

 

Any disputes arising under these White-Label Terms shall first be addressed through good-faith discussions. If unresolved, disputes may be referred to mediation or arbitration as determined by Fazinflo. Jurisdiction shall be governed by the applicable laws as determined by Fazinflo.

 

 

14. Acceptance of Terms

 

By enrolling in or continuing participation in The WhiteLabel Collective, the Partner confirms full acceptance of these White-Label Terms & Conditions and Fazinflo’s standard Terms & Conditions. Continued participation constitutes ongoing agreement.
